Welcome to the lotrasoft Inc. (“lotrasoft,” “we,” “us,” or “our”) Client Portal (the “Portal”). These Client Portal Terms of Service (“Portal Terms”) govern your access to and use of this Portal.

By logging into or using the Portal, you (“Client,” “you,” “your”) agree to be bound by these Portal Terms on behalf of your company and all individuals you authorize to use the Portal (“Authorized Users”).

1. Relationship to Your Master Service Agreement (MSA)

These Portal Terms are supplemental to, and do not replace, the Master Service Agreement (MSA), Statement of Work (SOW), or other primary service contract you have signed with lotrasoft Inc. (your “Main Agreement”).

Your Main Agreement governs all Services, pricing, service levels (SLAs), liability, and confidentiality. These Portal Terms govern only your access to and use of this specific Portal tool.

In the event of any conflict or inconsistency between these Portal Terms and your Main Agreement, the terms of your Main Agreement shall always prevail.

2. The Client Portal

The Portal is a tool we provide to our clients to:

  • Access and manage your service account information.
  • Submit, view, and manage service requests (“Tickets”) via the service desk.
  • Access client-specific content, such as service reports, invoices, and knowledge base articles (“Client Content”).
  • Communicate with the lotrasoft support team.

3. Authorized Users and Account Security

  • Authorized Users: You are responsible for identifying and managing all Authorized Users who are given access to the Portal under your account. You represent that you have the authority to grant these users access.
  • Account Responsibility: You are fully responsible and liable for all activities that occur under your account and by your Authorized Users.
  • Confidentiality: You and your Authorized Users must maintain the strict confidentiality of all usernames, passwords, and other access credentials.
  • Notification of Breach: You must immediately notify lotrasoft Inc. in writing of any unauthorized use of your account, any breach of password confidentiality, or any other security incident related to the Portal.

4. Acceptable Use Policy

Your access to the Portal is conditional on your (and your Authorized Users’) compliance with this policy. You agree not to:

  • Use the Portal for any illegal, fraudulent, or malicious purpose.
  • Submit Tickets that contain abusive, harassing, defamatory, or obscene language.
  • Spam the service desk with repetitive, frivolous, or non-service-related requests.
  • Upload or transmit any files that contain viruses, worms, Trojan horses, or other malicious or harmful code.
  • Attempt to gain unauthorized access to any part of the Portal, another client’s account, or any lotrasoft system or network.
  • Reverse-engineer, decompile, or otherwise attempt to discover the source code or underlying structure of the Portal.
  • Share, distribute, or disclose any “Client Content” marked as confidential (or which would reasonably be understood to be confidential) to any third party without lotrasoft’s prior written consent.

5. Service Desk and Communications

The Portal is an official channel for submitting service requests.

  • Ticket Submission: By submitting a Ticket, you authorize lotrasoft to perform the work described. You are responsible for providing accurate and complete information.
  • Response Times: All response times and service levels for work requested via the Portal are governed exclusively by the Service Level Agreement (SLA) section of your Main Agreement.
  • Electronic Communications: By using the Portal, you consent to receive electronic communications from us (e.g., ticket updates, account notifications) in connection with your services.

6. Confidentiality and Intellectual Property

  • Our IP: lotrasoft Inc. and its licensors own all right, title, and interest in and to the Portal itself, including its software, design, user interface, and all associated intellectual property rights. We grant you a limited, non-exclusive, non-transferable right to access and use the Portal only during the term of your Main Agreement.
  • Your Data: You retain all ownership rights to the data you submit to the Portal (“Client Data”). You grant us a worldwide, royalty-free license to use, host, store, and reproduce your Client Data only for the purpose of providing the Services to you.
  • Portal Content: All “Client Content” (reports, invoices, documentation) made available to you through the Portal is the Confidential Information of lotrasoft Inc. and/models/or you, as defined in your Main Agreement. It may not be disclosed to any third party except as permitted by your Main Agreement.

7. Portal Availability and Disclaimer

THE PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE.”

While lotrasoft Inc. uses reasonable efforts to maintain the availability of the Portal, we do not guarantee it will be uninterrupted, timely, secure, or error-free. The Portal may be unavailable due to planned maintenance or unforeseen outages.

We are not liable for any damages or losses arising from your inability to access or use the Portal, or from any inaccuracies in the data presented (e.g., ticket status, billing summaries). The formal records, invoices, and reports provided by lotrasoft Inc. (e.g., as PDF attachments) shall be considered the source of truth over any data displayed on the Portal’s dashboard.

8. Suspension and Termination of Access

  • Suspension: We reserve the right to suspend or terminate any Authorized User’s access, or your entire account’s access, to the Portal immediately and without notice if you or your user breaches these Portal Terms (e.g., by abusing the service desk).
  • Termination: Your right to access and use the Portal will automatically terminate upon the termination or expiration of your Main Agreement with lotrasoft Inc.

9. Changes to Portal Terms

We may revise and update these Portal Terms from time to time in our sole discretion. We will notify you of any material changes by posting the new terms on the Portal or by sending a notification to your account’s primary email address. Your continued use of the Portal after such notification constitutes your acceptance of the changes.

10. Governing Law

These Portal Terms, and all matters arising from your use of the Portal, shall be governed by and construed in accordance with the laws specified in your Main Agreement.
